2. No Employment Relationship

Use of our services does not create an employer-employee relationship between Northern Springs Venture Group Inc. and the client’s employees, contractors, or representatives.

All hiring, firing, disciplinary actions, compensation decisions, payroll obligations, and workplace compliance responsibilities remain solely with the client organization.

3. Confidentiality

Clients acknowledge and accept the risks associated with transmitting information electronically.

4. Virtual Services Disclaimer

Because services are delivered virtually and remotely:

• Service interruptions may occur due to internet, software, or third-party platform failures.

• The Company is not responsible for delays caused by technology outages outside of our control.

• Clients are responsible for maintaining secure internet access and safeguarding their own login credentials and business systems.

5. Compliance Responsibility

While we may assist clients with HR compliance efforts, the client remains fully responsible for complying with:

• Federal employment laws

• Industry regulations

• Tax requirements

• Workplace safety standards

• Employee classification rules

The Company does not guarantee regulatory approval, audit outcomes, or legal compliance results.

6. Limitation of Liability

Our total liability for any claim related to services shall not exceed the amount paid by the client for services rendered during the preceding thirty (30) days.

4. Payment Terms

• Deposits and retainers may be non-refundable.

• Chargebacks or payment disputes made without prior communication may result in immediate termination of services.

5. Intellectual Property

• Policies

• Training materials

• Branding assets

• Digital documents

• Presentations

• Processes and frameworks

remain the intellectual property of the Company unless otherwise stated in writing.

Clients may not reproduce, resell, distribute, or modify proprietary materials without written permission.

6. Confidential Information

Both parties agree to maintain confidentiality regarding sensitive business, employee, operational, and financial information shared during engagements.

Confidential information shall not include information that:

• Is publicly available

• Was already known prior to disclosure

• Is required to be disclosed by law

7. Termination

Northern Springs Venture Group Inc. reserves the right to terminate services for:

• Non-payment

• Fraudulent activity

• Harassment or abusive conduct

• Breach of these Terms

• Illegal business activity

Clients may terminate services according to any written service agreement in place.

8. Third-Party Platforms

Our services may utilize third-party software and communication platforms including email, video conferencing, payroll systems, scheduling tools, and cloud storage providers.

We are not responsible for outages, errors, security breaches, or service interruptions caused by third-party providers.

9. Privacy

10. Governing Law
